Partner Access Terms

UniBridge Technologies Ltd. (“UniBridge”, “we”, “our”) provides controlled partner access to private
documentation, technical materials, communications, and selected integration or coordination
pathways for evaluation, onboarding review, and phased enablement. UniBridge operates as a
non-custodial infrastructure coordination layer for cross-border settlement routing
and execution across regulated counterparties. These Partner Access Terms govern your access to
UniBridge materials and any related technical access made available to you.
1. Controlled Partner Access
UniBridge access is controlled and may be granted in stages. Access may include documentation,
technical review, selected API or integration access, and other partner materials, depending on
use case fit, corridor scope, partner status, and operational readiness.
- Access is provided solely for internal evaluation, partnership review, and technical assessment.
- Access does not imply production approval, live transaction rights, unrestricted API availability, or corridor enablement.
- UniBridge may grant, limit, expand, suspend, or revoke access at its discretion.
2. Infrastructure Role; No Custody
UniBridge acts as an infrastructure coordination layer and does not custody client funds, maintain
user balances or wallets, or directly onboard retail financial customers.
- Settlement execution occurs directly between integrated regulated partners and execution providers.
- Access to UniBridge materials or technical pathways does not by itself constitute the provision of financial services, payment services, money transmission, or regulated execution services.
- Nothing in UniBridge materials, communications, or documentation changes the allocation of operational responsibility between UniBridge, partners, and regulated counterparties.
3. Compliance Responsibilities
UniBridge applies a risk-based approach to partner onboarding, jurisdictional and corridor review,
and infrastructure-level transaction flow integrity. Partner access is subject to compliance,
operational, and corridor considerations.
- Licensing and regulatory compliance remain the responsibility of each partner and its regulated counterparties.
- All KYC/KYB, AML/CFT, sanctions screening, and transaction monitoring obligations remain with the relevant partner or regulated provider.
- UniBridge may decline, suspend, restrict, or discontinue access or integrations that present elevated compliance, sanctions, or operational risk.
- Nothing in UniBridge materials, communications, or documentation constitutes legal, compliance, or regulatory advice.
4. No Production Reliance Unless Expressly Approved
UniBridge materials, route descriptions, examples, corridor references, and technical access are
provided for evaluation and integration review unless we expressly confirm otherwise in writing.
- You must not rely on private documentation or evaluation access as authorization for production use.
- Any route logic, examples, operational descriptions, or corridor references are illustrative unless specifically approved for your use case.
- Production access, live transaction handling, and corridor enablement require separate confirmation from UniBridge.
5. Data Handling, Privacy, and Logs
UniBridge may log requests, communications, and technical interactions for security, debugging,
reliability, partner assessment, and access-control purposes.
- Do not submit production customer data or unnecessary personal data unless expressly authorized in writing.
- Use test data, placeholders, or hashed identifiers wherever reasonably possible.
- By sending any data to UniBridge, you confirm that you have the right to disclose and process that data for the relevant purpose.
6. Intellectual Property and Usage Restrictions
UniBridge Protocol, the UniBridge brand, its settlement orchestration architecture,
coordination methods, route resolution framework, deterministic session and settlement
lifecycle designs, the Bridge Key Directory (BKD) concept, and all related materials,
workflows, designs, and documentation are the intellectual property of
UniBridge Technologies Ltd.
- All materials are provided on a limited, non-transferable, evaluation-only basis unless otherwise agreed in writing.
- You may not copy, distribute, publish, sublicense, commercialize, reverse engineer, or create derivative materials from UniBridge content without prior written consent.
- No commercial rights, license grants, or ownership interests are transferred by access to UniBridge materials.
7. No Warranties; Limited Availability
UniBridge access, materials, and technical pathways are provided on an “as is” and “as available”
basis, without warranties of availability, accuracy, completeness, performance, or fitness for any
particular purpose.
- UniBridge may modify, restrict, or discontinue any materials or access pathway at any time.
- No uptime commitment, service-level commitment, or production-readiness guarantee applies unless separately agreed in writing.
- Partners remain responsible for their own technical, operational, legal, and regulatory decisions.
8. Third-Party Infrastructure and Services
UniBridge may rely on third-party infrastructure or service providers in connection with
communications, hosting, logging, monitoring, documentation delivery, or messaging.
- Any such third-party provider is not a party to any agreement between you and UniBridge unless expressly stated otherwise.
- Additional third-party terms may apply where relevant.
9. Governing Law
Unless otherwise agreed in writing, these Partner Access Terms and any related dispute are governed
by the laws of England and Wales.
